Code of Ethics

This Code of Ethics (the “Code”) summarises the principles of conduct that directors, managers, employees, collaborators and suppliers must observe when conducting business activities, performing work and, in general, in internal and external relations with the company. It in no way constitutes a complete and exhaustive guide.

To whom and where it applies

The Code binds the directors, managers, employees, collaborators and suppliers of Dermakosm Srl.

The code is also intended for all present and future companies and their employees, directors, collaborators and suppliers that may be part of the Dermakosm Srl group. Group shall mean any legal entity in which Dermakosm Srl may exercise votes or influence to a dominant extent.

The Code can be consulted electronically on the website of Dermakosm Srl - relating to its own brand Fillerkosm Srl - or in hard copy by requesting it from the administrator.

General Principles

Human Rights

Respect for the inviolable rights of man is essential. That is why Dermakosm Srl defends these rights in all circumstances and repudiates any discrimination based on gender, ethnicity, language, religious and political beliefs, social and personal conditions. Dermakosm Srl embraces the principles laid down in the Universal Declaration of Human Rights, the UN Convention on the Rights of the Child and Adolescent, the International Labour Organisation and the OECD guidelines.

Compliance with laws

Dermakosm Srl respects any law and, in general, any local, national or international regulations applicable in Italy and in any other country in which it operates. To ensure compliance with this principle, the Dermakosm Srl may adopt, among other things, models of organization, management and control aimed at the prevention of offences in general and the administrative liability of legal persons dependent on crime.

Financial integrity and the fight against fraud

Dermakosm Srl carries out any economic operation and financial transaction observing the principles of integrity and transparency and, in any case, does not carry out any fraudulent operation or transaction. Therefore, among other things, every operation and transaction must be properly authorised, verifiable, legitimate, consistent and congruous.

Fighting corruption

Dermakosm Srl rejects corruption as a means of conducting its business. It is, therefore, not permitted under any circumstances to bribe or even attempt to bribe holders of elective public offices, public officials or persons in charge of public services, as well as private individuals. In particular, no one may offer, promise or give money or other advantages to obtain undue benefits for himself/herself. Furthermore, no one may demand money or other advantages to perform undue services.

Competition

The Dermakosm Srl recognises that fair and honest competition is a fundamental element for the development of business activity. For this reason, the Company complies with the antitrust legislation from time to time applicable and the rules of fair competition and in no case engage in acts or conduct contrary to free and fair competition

Customer Relations

Definition of customer

The Company considers anyone who buys its products and services or simply uses them as its customers. Customers are therefore, for example, buyers of products and users of services provided via the Internet.

Behavioural style

Dermakosm Srl bases its relations with customers on listening, helpfulness, courtesy, honesty, loyalty, professionalism and, in any case, compliance with the general principles of this Code: human rights, financial integrity, protection of intellectual property, competition. All information provided to customers must be characterised by clarity, transparency and completeness.

Customer satisfaction

Customer satisfaction is a primary asset. That is why the company puts in place measures and procedures to check and assess that customers are satisfied with the products and services offered, so as to continuously improve the level of its commercial offerings and to be able to quickly and effectively remedy cases of possible dissatisfaction.

Confidentiality

Customers often make personal data and information available to them for commercial purposes. Dermakosm Srl takes all necessary measures to ensure compliance of the processing with the legal or regulatory provisions applicable from time to time and, in any case, the confidentiality of those data and information according to the legitimate expectations of the customers themselves.

Innovation

The company constantly pursues innovation in its products and services. To this end, the Company pays attention to customer needs and anticipates market trends as far as possible. With this in mind, the company devotes resources to research and development of new solutions.

Product Safety

The Company guarantees the safety of the products it markets: to do this, the Company ensures scrupulous compliance with all legal, regulatory and technical standards applicable from time to time and puts in place adequate control procedures. Furthermore, the Company takes particular care to ensure the safety of children and adolescents; it takes care of their educational and growth needs through the dissemination of truth and knowledge.

Correctness of information

All communications addressed to customers must be truthful, correct and fair. The Company shall refrain, in any way, from any deceptive, aggressive or otherwise unfair practice, this in advertising as well as in other commercial communications with customers.

Relations with Suppliers

Definition of supplier

The Company considers anyone who supplies products or services that it then distributes to be its supplier. Examples of suppliers include transporters, packaging suppliers.

Relations with Suppliers

When procuring, the Company seeks quality and cost-effective goods and services, and, on this basis, grants equal treatment to current and potential suppliers.

Social obligations and safety protection

Dermakosm Srl is committed to preserving the health and safety of suppliers and their employees and collaborators through appropriate preventive actions according to current regulations. In turn, in addition to accepting the principles of this Code, suppliers must ensure respect for workers' rights and the protection of child labour in all circumstances.

Selection Criteria

The selection of suppliers is based on multiple criteria including, for example, the technical suitability of the products or services proposed, the quality of the products or services, the cost-effectiveness of the offer, respect for the environment and acceptance of the principles set out in this Code.

Relations with employees and collaborators

Definition of employee and collaborator

Employees and collaborators of Dermakosm Srl are all those who have, in the forms provided by law, a working relationship or collaboration, a relationship aimed at achieving the purposes of the company. Thus, are considered employees and collaborators, for example, managers, employees under an employment contract of indefinite, fixed-term or part-time, temporary workers, project workers and occasional collaborators.

Protection of the person

The Company repudiates, first and foremost internally, any discrimination between employees and collaborators based on gender, ethnicity, language, religious and political beliefs and social and personal conditions. It favours a working environment where the dignity of each individual is guaranteed and relations between people take place on a basis of respect, fairness and collaboration. The Company also takes care to avoid stress and, in general, work-related discomfort, also by means of controls and communication tools.

Enhancing resources

The Company values the skills, potential and commitment of each individual: to do this, it adopts clear and uniform evaluation criteria and provides appropriate training.

Abuse

No abuse of authority shall be tolerated in labour and cooperation relations. Consequently, the hierarchical superior, towards any subordinate person, may not perform any act or behave in any way that is not provided for by law or by the applicable collective and individual agreements. The Company also establishes a listening centre for cases of abuse of authority.

Involvement

Dermakosm Srl takes care to solicit and involve everyone in the pursuit of the company's objectives and in solving problems on the basis of their respective skills and responsibilities. To this end, organisational clarity and transparency are a fundamental tool: for this purpose, special service orders, which are spread throughout the Group, define the roles of each person within the company

Health and safety protection

The Company complies with all legal, regulatory and technical standards applicable from time to time on the protection of workers' health and safety and adopts management systems suitable for this purpose. In any case, the fundamental principles and criteria on the basis of which decisions, of any type and at any level, are made regarding health and safety at work within the framework of the organisation, management and control model are avoiding risks; assessing risks that cannot be avoided; combating risks at source; adapting the work to the person, particularly with regard to the design of workplaces and the choice of work equipment and work and production methods, in order to mitigate monotonous work and repetitive work and to reduce the effects of these jobs on health; planning prevention, aiming at a coherent whole integrating technology, organisation of work, working conditions, social relationships and the influence of factors in the working environment; giving collective protective measures priority over individual protective measures; providing appropriate instructions and information to workers

Conflicts of interest

Directors, employees and collaborators shall pursue, in the performance of their collaboration, the general objectives and interests of the Company. They shall inform their superiors or contact persons without delay, taking into account the circumstances, of situations or activities in which they might have interests that conflict with those of the Company (or if they are close relatives of such interests) and in any other case in which there are relevant reasons of convenience. Directors, employees and collaborators shall respect the decisions taken by the Company in this regard.

Confidentiality

Directors, employees and collaborators ensure the utmost confidentiality with regard to news and information constituting company assets or pertaining to the activities of Dermakosm Srl, in compliance with the provisions of the law, current regulations and internal procedures

Use of company assets

Directors, employees and collaborators shall perform their work and services with diligence, efficiency and fairness: in doing so, they shall use the tools and time at their disposal to the best of their ability and assume the responsibilities associated with their duties. They shall not use for personal purposes any information, goods and equipment at their disposal in the performance of their duties or tasks.

Community and institutional relations

Institutions

Dermakosm Srl maintains relations with public institutions, public officials or those responsible for public services, or bodies, representatives, agents, exponents, members, employees, consultants, persons in charge of public functions or services, of public institutions, public administrations, public bodies, including economic ones, public bodies or companies, of a local, national or international nature in compliance with current regulations and on the basis of the general principles of legality and integrity. If a director, employee or collaborator receives from a public official explicit or implicit requests for benefits, except for gifts of commercial use and of modest value, he/she must immediately inform his/her hierarchical superior or the person to whom he/she is required to report for the appropriate initiatives. Dermakosm Srl, a benefit company, must support, within the limits of budgets and pre-established projects, programmes of public bodies aimed at achieving utilities and benefits for the community, as well as the activities of foundations and associations, always in compliance with current regulations and the principles of the Code.

Political parties

The company does not finance any political party or any of its members

Stakeholders

The company informs its stakeholders of its activities for the benefit of the community. To this end, it pursues its objectives according to its charter.

Social and cultural initiatives

Dermakosm Srl promotes and supports social and cultural initiatives that are consistent with its corporate mission and vision, as well as its strategic directions.

Community relations and the environment

Environmental Protection

The Company is inspired in its activities by the principle of environmental protection and preservation.

Environmental legislation

The Company complies with all relevant EU and national legislation on environmental protection. It also pays constant attention to regulatory developments on the subject in order to promptly adapt to the requirements that arise from time to time.

Control

The company regularly verifies the impact of its activities on the environment and, on this basis, takes the necessary actions to remedy the negative effects and correct its operating methods

Suppliers

Suppliers' adherence to the environmental principles summarised in this Code is an element that contributes to their evaluation by the Company.

Participation

The Company pursues an ongoing dialogue with institutions and recognised environmental associations, as exponents of the interests underlying environmental protection and, therefore, as qualified interlocutors in this matter

Implementation of the Code

From the second year after the entry into force of this code will be prepared internal audit reports and communication and training on the principles and their implementation by the Company's managers, directors, employees and collaborators. Dermakosm Srl will ensure maximum dissemination of this code through internet channels and targeted communications to stakeholders. It will also activate communication channels so that any violation can be promptly brought to the attention of the supervisory body in charge.
